1. Scope and acceptance

These terms apply to every quotation, sample, order and delivery of goods by Guangzhou Sanwa Poker CO., LTD., trading as SGallocards, a company established in Guangzhou, Guangdong Province, China ("SGallocards", "we", "us"), to the business customer named in the quotation or order ("you", "Buyer"). They apply together with the quotation, the order confirmation and any signed contract. If those documents conflict, the signed contract prevails, followed by the order confirmation, then these terms.

You accept these terms by approving a quotation, issuing a purchase order, paying a deposit, approving a proof or accepting delivery, whichever happens first. Nothing in these terms excludes rights that applicable law does not permit to be excluded.

2. Definitions

  • Order — the purchase order or written instruction you place with us, including the agreed quantity and delivery requirements.
  • Specification — the card size, stock, printing, finishing, packaging, quantity and other requirements recorded in the quotation or order confirmation.
  • Proof — the digital or physical sample we submit for your approval before mass production.
  • Goods — the custom printed products and packaging we manufacture and supply under the Order.
  • Contract — the agreement formed when we confirm the Order in writing.

3. Quotations and pricing

Quotations are valid for 30 days from the date of issue unless they state otherwise. They are based on the Specification, quantity, delivery terms and Incoterm shown on the quotation. Prices exclude VAT, import duties, taxes, bank charges and freight unless the quotation says otherwise.

We may revise a quotation before the Order is confirmed if the Specification, quantity or delivery requirements change, or if the cost of paper, board, ink, energy or freight changes materially. Prices are quoted per project and are not published on this website.

4. Orders and acceptance

An Order is accepted only when we issue a written order confirmation and receive the agreed deposit. Before that point we may decline or cancel an Order, including where the artwork or intended use appears unlawful, infringing or outside our production capabilities.

You are responsible for the accuracy of the Order and the Specification. Changes requested after confirmation are subject to feasibility, a revised price and a revised lead time, each confirmed by us in writing.

5. Payment

Payment terms are set out in the quotation, order confirmation or contract. Unless we have agreed credit terms in writing, the balance is payable before shipment. Payments must be made to the bank account shown on our invoice; contact us before paying if the account details differ from those used previously.

We may charge interest on overdue amounts at the rate stated in the contract or permitted by law, and may suspend production or shipment until payment is received. Bank charges are borne by the payer. Deposits secure production capacity and materials and are refundable only as set out in section 11.

6. Artwork, proofs and intellectual property

You confirm that you own or are duly licensed to use all artwork, logos, trademarks, photographs and text you supply, and that our use and reproduction of them for your Order will not infringe the rights of any third party. You grant us a non-exclusive, royalty-free licence to use, reproduce, adapt and print that material solely to quote, sample and manufacture your Order.

Files should be supplied print-ready: CMYK colour, 3 mm bleed, outlined fonts and at least 300 dpi at final size. We review files for print production, but we are not responsible for errors present in artwork or in a Proof you approved, including spelling, colour choices, die lines and legal or regulatory wording. We may decline material that is unlawful, defamatory, obscene or infringing.

Production begins only after you approve the Proof in writing; approval by email is sufficient. We retain ownership of our own photography, processes and website content.

7. Samples and production lead times

Physical samples take 5–7 days and mass production takes 15–20 days after the artwork, Specification and Proof are confirmed and the deposit has cleared. These periods are estimates based on normal capacity and are not guaranteed delivery dates.

Complex finishing, mixed designs, special packaging, hand assembly or peak-season volumes may extend these periods; we will tell you before accepting the Order if we expect a longer schedule. Delays caused by late approvals, changes to the Specification, materials supplied by you or events described in section 15 extend the schedule accordingly.

8. Minimum order quantity

Our standard minimum order quantity is 500 decks per design.

Smaller trial runs: if your order is under 500 decks, our sales team will work with you to find the most cost-effective option.

Where an Order contains several designs, each design is quoted with its own minimum quantity, and the decks may be packed and shipped together.

9. Delivery, title and risk

Delivery is made on the Incoterms® 2020 term stated in the quotation — EXW, FOB, CIF or DDP. Risk of loss or damage passes in accordance with that term. Shipping and collection dates are estimates; carrier schedules, port congestion, customs inspection and other events outside our control may affect them.

Unless the quotation is DDP, you are responsible for import clearance, duties, taxes and destination charges. Title to the Goods passes to you when we receive payment in full, even if risk has already passed under the applicable Incoterm. Please inspect the Goods on arrival and note any visible damage on the carrier's delivery document before signing.

10. Quality and claims

We inspect materials on arrival, monitor production in line and carry out a final inspection before shipment; our quality management system is certified to ISO 9001. We warrant that the Goods will materially conform to the approved Proof and Specification.

Normal production tolerances apply: colour within ±5% of the approved Proof, cutting within ±0.5 mm of the approved die line, and counts verified against the packing list, with shortages credited or replaced. If you believe the Goods do not conform, notify us within 7 days of receipt with photographs, carton numbers and, where we ask, return samples. For verified defects we will repair, replace or credit the affected quantity at our option. We are not liable for defects that were apparent on reasonable inspection but not notified within that period, or for errors in artwork or a Proof you approved.

11. Cancellation, changes and returns

Custom Goods are manufactured to your artwork and cannot be resold. You may cancel before production starts; we will refund the deposit less artwork, plate-making, material and other costs already incurred. Once production has started, you remain liable for the work completed and materials committed, and we will deliver the finished Goods.

We do not accept returns for change of mind after Proof approval. Returns, replacements and refunds for defective Goods are handled under our Returns & Refunds Policy.

12. Warranty and limitation of liability

Subject to section 10, we warrant that the Goods will conform to the approved Specification at the time of delivery. To the maximum extent permitted by law, this is our only warranty, and we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.

Our total liability arising from or in connection with an Order is limited to the invoice value of the affected Goods. We are not liable for indirect or consequential loss, loss of profit, revenue, goodwill or business opportunity, or the cost of substitute products. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot lawfully be excluded.

You are responsible for confirming that the Goods and their packaging meet the legal, labelling and product-safety requirements of the destination market.

13. Confidentiality

Each party will keep confidential the other's non-public commercial, technical and business information and will use it only to perform the Contract. This obligation does not apply to information that is public, already lawfully known, independently developed, or required to be disclosed by law or a competent authority.

Your artwork, brand assets and product plans are treated as your confidential information, and we will not display finished work in our portfolio or marketing without your written permission. These obligations continue after the Contract ends.

14. Compliance, export control and business conduct

You confirm that the Order, the artwork and the intended use comply with the laws applicable to you and to the destination market, including sanctions and export-control rules, anti-bribery and anti-corruption laws, and product-safety and labelling requirements. You will not ask us to produce counterfeit goods or goods that infringe third-party rights.

Neither party will offer, pay or accept improper payments in connection with an Order. We may suspend an Order and retain records where we are required to do so by law or by a competent authority.

15. Force majeure

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, epidemics, war, civil unrest, strikes, government action, port or border closures, and shortages of energy, paper or other materials. The affected party will notify the other promptly and use reasonable efforts to mitigate the delay.

If the event continues for more than 60 days, either party may cancel the affected Order, and you will pay for work performed and materials committed up to that point.

16. Suspension and termination

We may suspend production or delivery if payment is overdue, if the artwork raises a legal concern, or if we reasonably believe the Order is unlawful. Either party may terminate a Contract for a material breach that is not remedied within 14 days of written notice, or if the other party becomes insolvent.

Termination does not affect rights that have already accrued, and you remain liable for Goods produced and costs incurred before termination.

17. Governing law and disputes

These terms and each Contract are governed by the laws of the People's Republic of China. The parties will first attempt to resolve any dispute by good-faith negotiation within 30 days of written notice. If the dispute is not resolved, it will be submitted to the competent people's court in Guangzhou, Guangdong Province.

Nothing in this section prevents either party from seeking urgent interim relief. These terms are written in English; translations are provided for convenience, and the English version prevails if there is any inconsistency.

18. Changes to these terms

We may update these terms from time to time. The version published on this page, with the effective date shown at the top, applies to Orders confirmed after that date. An Order is governed by the version in force when we confirmed it, unless we agree otherwise in writing.
